Datahawk Speak - Freeware Licence Agreement

Our Datahawk Speak software option is a free Text To Speech utility program for reading out loud typed or pasted text.

NOTICE TO USERS
Please, read this document carefully. By using any part of the Software relating to this document you accept all the terms and conditions of this Agreement. If you do not agree with these terms, do not use the software supplied by Datahawk Software Limited, New Zealand.

This is a legal agreement between you and Datahawk Software Limited hereinafter referred to as Datahawk.

1. Grant Of Licence.
This licence agreement gives you the right to use the installed software (hereinafter termed 'The Software') for personal use only for an unlimited time provided that you abide by the terms and conditions herein.

The word 'Use' shall mean the loading of The Software onto a computer or any other electronic device capable of loading The Software into its ROM, RAM, HARD DISK, CD ROM or any other electronic storage device.

2. Notice To Users.
You shall inform all users of The Software of the terms and conditions of this Agreement.

3. Other Restrictions.
This Agreement is your proof of licence to exercise the rights granted herein. You may not rent, sell or lease The Software to a third party, but you may transfer your rights under this Agreement on a permanent basis provided you transfer this Agreement, all copies of The Software and all written materials, and the recipient agrees to the terms of this Agreement. You may not, or permit any other person or organisation, to copy, modify, reverse engineer, de-compile, or disassemble The Software.

4. Copyright.
Copyright of The Software is owned by Datahawk Software Limited of Albany, Auckland, New Zealand or its nominees and is protected by New Zealand and Australian copyright law and all international treaties. Therefore you must treat The Software as you would any other material subject to copyright. You must not give or allow The Software to be given or loaned to a third party under threat of the most severe legal action available under the law. This License does not pass any intellectual property rights of The Software to you or anyone else.

5. Warranty and Consequential Damages.
Datahawk warrants that: Datahawk owns the Software and documentation and/or is in possession of valid and existing licenses for The Software. The Software conforms to specifications and functionality as specified within documentation available on Datahawk web server pages. To the best of Datahawks knowledge, The Software does not infringe upon or violate any intellectual property right of any third party. The Software does not contain any code designed by Datahawk to disable a computer program, or computer instructions that may alter, destroy or inhibit the end users normal operating system environment.

You agree that Datahawk or any of its staff, directors, shareholders, agents, resellers, nominees or support associates will not be liable for any damages whatsoever including, without limitation, damages for loss of profits, interruption, loss of business information, loss of data, or any other loss even if Datahawk have been notified, or have been notified of the possibility of such loss.

6. Limitation of Liability.
In no event will Datahawk or any of their staff, directors, shareholders, agents, resellers, nominees or support associates be liable for any damages, claims, costs whatsoever or any consequential, indirect, incidental damages, lost profit or lost money, even if Datahawk has been advised of the possibility of such loss, damages, claims, costs or for any claim by any other third party.

7. General Provisions and Non-Waiver.
If any part of this agreement is found void and unenforceable, it will not affect the validity of the balance of this Agreement, which shall remain valid and enforceable according to its terms. This agreement shall automatically terminate upon failure by you to comply with its terms.
